TERMS AND CONDITIONS OF FLOCKPASS

These Terms and Conditions govern the access to and use of Flockpass, including the mobile application, website, services, features, content, booking tools, payment flows, Creator tools, and any related services made available through flockpassapp.com or the Flockpass application.

By creating an account, accessing the Application, browsing events, applying to become a Creator, booking an event, publishing an event listing, or otherwise using Flockpass, Users agree to be bound by these Terms.

If a User does not agree with these Terms, the User must not access or use Flockpass.

  1. Information about Flockpass

Flockpass is a 16+ creator event platform that connects verified Creators with Users who wish to discover, book, and attend creator-led experiences and events.

Flockpass operates exclusively as an intermediary platform. Flockpass does not organize, host, supervise, manage, or control the events listed by Creators.

All events are created, organized, promoted, managed, and carried out solely by independent Creators.

Approved Creators may create paid events, receive bookings, and receive payouts through the platform, subject to these Terms, the Creator Terms, the Refund & Cancellation Policy, the Minor Safety Policy, the Community Guidelines, and any other applicable Flockpass policies.

  1. Definitions

“Application” means the Flockpass mobile application, website, platform, services, and related tools.

“Flockpass”, “we”, “us”, or “our” refers to the Owner and the platform operated under the Flockpass brand.

“User” or “you” means any person who accesses or uses the Application.

“Creator” means an approved User who is authorized by Flockpass to create and publish events, receive bookings, and receive payouts.

“Event” means a creator-led experience, gathering, activity, or event listed through the Application.

“Booking” means the purchase or reservation of access to an Event through the Application.

“Kin” may be used within the Application to refer to Users who discover, book, or attend Creator events.

“Terms” means these Terms and Conditions and any documents incorporated by reference.

“Policies” means the Privacy Policy, Minor Safety Policy, Creator Terms, Refund & Cancellation Policy, Community Guidelines, and any other policy made available by Flockpass.

  1. Eligibility and Age Requirement

Flockpass is intended for Users aged 16 and above.

Users under the age of 16 are not permitted to create an account, access the Application, book events, attend events through the Application, or otherwise use Flockpass.

By using Flockpass, Users confirm that they are at least 16 years old.

Users aged 16–17 are subject to additional safety and privacy protections as described in the Minor Safety Policy.

Flockpass may restrict, suspend, or delete any account where it reasonably believes that the User is under 16, has provided false age information, or is attempting to bypass age restrictions.

  1. Additional Protections for Users Aged 16–17

Users aged 16–17 are subject to enhanced safety protections.

Private messaging between adults and Users aged 16–17 is not permitted.

Adult-only events are hidden from Users aged 16–17.

Flockpass may apply additional restrictions, visibility limits, moderation controls, booking restrictions, reporting tools, blocking features, or safety reviews to protect Users aged 16–17.

Creators must clearly indicate the minimum age required to attend each Event.

  1. Account Registration

To use certain features of Flockpass, Users must create an account and provide accurate, complete, and up-to-date information.

Users are responsible for maintaining the confidentiality of their login credentials and for all activity carried out through their account.

Users must not create accounts using false information, impersonate another person, create accounts through automated methods, or transfer their account to another person without Flockpass’s permission.

Unless otherwise expressly allowed, each User may maintain only one account.

  1. Account Suspension and Termination

Flockpass may suspend, restrict, or delete an account, remove content, cancel bookings, block payouts, or limit access to the Application where it reasonably believes that:

  • the User has violated these Terms or any Flockpass policy;

  • the account is fraudulent, misleading, unsafe, or unlawful;

  • the User has provided false or incomplete information;

  • the User has engaged in harassment, abuse, fraud, exploitation, or unsafe conduct;

  • the User has attempted to bypass safety, moderation, payment, or age restrictions;

  • the account or activity may create legal, safety, financial, reputational, or operational risk for Flockpass, Users, Creators, or third parties.

Users may terminate their account at any time through the tools provided in the Application, where available, or by contacting support@flockpassapp.com.

Termination of an account does not automatically cancel existing obligations, pending disputes, payment obligations, tax obligations, chargebacks, refund reviews, investigations, or legal obligations.

  1. Role of Flockpass as Intermediary Platform

Flockpass acts exclusively as an intermediary platform that allows Creators to list Events and Users to discover and book access to such Events.

Flockpass does not organize, host, supervise, manage, control, endorse, or guarantee any Event listed on the Application.

Creators are independent organizers. They are not employees, agents, representatives, partners, or contractors of Flockpass.

Flockpass does not guarantee:

  • the quality, safety, legality, or suitability of any Event;

  • the accuracy of Creator statements or Event descriptions;

  • the behavior, identity, reliability, or intentions of Users or Creators;

  • the attendance, performance, availability, or conduct of any Creator;

  • the suitability of any venue, location, or activity.

Users acknowledge that participation in Events takes place at their own risk.

  1. Event Listings

Approved Creators may create, publish, promote, and monetize Event listings through the Application.

Event listings may include descriptions, images, videos, dates, times, locations, minimum age requirements, access rules, prices, availability, restrictions, safety information, and other relevant details.

Creators are solely responsible for ensuring that Event listings are accurate, complete, lawful, non-misleading, and up to date.

Flockpass may review, moderate, remove, restrict, suspend, or block any Event listing where it believes that the listing may be inaccurate, unsafe, unlawful, inappropriate for minors, misleading, fraudulent, or otherwise inconsistent with these Terms or Flockpass policies.

  1. Creator Status

Only approved Creators may create paid Events, receive bookings, and receive payouts through the Application.

To apply to become a Creator, Users must currently meet the minimum requirement of having at least 50,000 followers on Instagram at the time of application.

Having 50,000 Instagram followers is only a minimum eligibility threshold and does not guarantee approval.

All Creator applications are subject to manual review by Flockpass.

Flockpass may approve, reject, suspend, or revoke Creator status at its sole discretion, even if the minimum follower requirement is met.

Additional Creator obligations are set out in the Creator Terms.

  1. Bookings and Paid Events

Users may book access to paid Events through the Application.

The price, availability, date, time, location, access requirements, age requirements, and other key Event information will be displayed in the Application before order submission, where applicable.

By submitting a booking, the User agrees to pay the amount shown at checkout and to comply with the Event rules, these Terms, and all applicable Flockpass policies.

A Booking grants the User access to the relevant Event subject to the Event rules, venue rules, age requirements, safety requirements, and applicable law.

A Booking does not grant the User ownership of any product, intellectual property, Creator content, or Flockpass content.

  1. Payments, Fees, and Taxes

Payments on Flockpass are processed through third-party payment providers, including Stripe where available.

Flockpass does not directly collect or store full payment card details.

Flockpass applies a platform fee equal to 15% of the relevant Creator Event transaction, unless otherwise stated in the Application or in a separate agreement with the Creator.

Payment processing fees charged by Stripe or any other payment provider, as well as applicable local taxes, duties, levies, or similar charges, may be charged to the User during checkout and will be displayed, where required, before order submission.

The final amount payable by the User may include the Event price, payment processing fees, local taxes, duties, and any other applicable charges shown at checkout.

Creators are solely responsible for determining, declaring, invoicing, collecting, reporting, and paying any taxes, duties, social security contributions, permits, licenses, or other fiscal obligations arising from their activity on Flockpass.

  1. Refunds and Cancellations

Refunds, cancellations, no-shows, rescheduling, location changes, misleading Event descriptions, safety-related refunds, fraud-related refunds, and chargeback handling are governed by the Refund & Cancellation Policy.

By booking an Event, Users agree to the Refund & Cancellation Policy.

By creating or publishing an Event, Creators agree to comply with the Refund & Cancellation Policy.

  1. User Conduct

Users must use Flockpass lawfully, respectfully, and safely.

Users must not:

  • violate laws, regulations, or third-party rights;

  • provide false, misleading, or incomplete information;

  • impersonate another person;

  • harass, threaten, abuse, exploit, stalk, intimidate, or harm others;

  • upload or share illegal, hateful, violent, discriminatory, sexual, exploitative, fraudulent, or unsafe content;

  • attempt to bypass age restrictions or safety measures;

  • engage in fraud, chargeback abuse, payment abuse, scraping, spam, or automated account creation;

  • use Flockpass to organize, promote, or attend unlawful or unsafe activities;

  • interfere with the security, operation, or availability of the Application.

  1. Content Provided by Users

Users may upload, publish, submit, or share content through the Application, including profile information, images, videos, Event listings, descriptions, reports, reviews, and communications.

By providing content to Flockpass, Users confirm that they have the necessary rights to do so and that the content does not violate applicable law, third-party rights, these Terms, or any Flockpass policy.

Users remain responsible for the content they provide.

Users grant Flockpass a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, adapt, moderate, remove, distribute, and otherwise process such content solely as necessary to operate, improve, promote, protect, and provide the Application and related services.

Flockpass may remove, restrict, block, or moderate User content at its discretion where it believes that the content may be unlawful, unsafe, misleading, inappropriate, infringing, fraudulent, or inconsistent with these Terms or applicable policies.

  1. Reporting, Blocking, and Moderation

Flockpass may provide tools that allow Users to report Events, Users, Creators, content, messages, safety concerns, or suspected violations.

Flockpass may also provide tools that allow Users to block or restrict interactions with other Users, where technically available.

Flockpass may review reports and take action including content removal, Event removal, warning, restriction, suspension, account deletion, booking cancellation, payout hold, referral to authorities, or any other appropriate measure.

Flockpass does not guarantee that every report will result in action.

  1. Prohibited Content and Child Safety

Flockpass has zero tolerance for child sexual abuse material, grooming, exploitation, coercion, sexualized interactions involving minors, trafficking, harassment, stalking, threats, hate speech, or any conduct that endangers minors or other Users.

Any content or conduct involving child sexual abuse or exploitation is strictly prohibited and may be reported to competent authorities.

  1. App Store Terms

Where the Application is downloaded through the Apple App Store, Google Play, or any other third-party app store, Users may also be subject to the terms and policies of that app store.

In the event of inconsistency between these Terms and applicable app store rules, the app store rules may prevail solely to the extent required by the relevant app store.

  1. Intellectual Property

All intellectual property rights in the Flockpass brand, Application, software, design, interface, trademarks, logos, features, systems, and original content are owned by Flockpass or its licensors.

Users may not copy, modify, distribute, sell, sublicense, reverse engineer, scrape, reproduce, or exploit any part of the Application except as expressly permitted by these Terms or applicable law.

  1. Privacy

The processing of personal data by Flockpass is described in the Privacy Policy.

By using the Application, Users acknowledge that Flockpass may process personal data as described in the Privacy Policy.

  1. Disclaimers

The Application is provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, Flockpass does not warrant that:

  • the Application will always be available, uninterrupted, secure, or error-free;

  • Events will meet Users’ expectations;

  • Creators or Users will behave in a particular manner;

  • Event listings will always be complete, accurate, or up to date;

  • any Event will be safe, legal, suitable, or properly executed.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, Flockpass, its Owner, affiliates, partners, suppliers, officers, directors, agents, and employees shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages.

To the maximum extent permitted by applicable law, Flockpass shall not be liable for damages, injuries, losses, disputes, claims, incidents, or consequences arising from or connected with:

  • any Event organized by a Creator;

  • the acts, omissions, representations, or conduct of Creators or Users;

  • the behavior of participants before, during, or after an Event;

  • the cancellation, rescheduling, poor execution, or non-performance of an Event;

  • any accident, injury, property damage, personal conflict, unlawful conduct, or unsafe conduct occurring in connection with an Event;

  • third-party payment providers, venues, service providers, or app stores.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law.

  1. Indemnification

To the maximum extent permitted by applicable law, Users agree to indemnify and hold harmless Flockpass, its Owner, affiliates, officers, directors, employees, contractors, partners, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses arising from:

  • the User’s use of the Application;

  • the User’s violation of these Terms or any Flockpass policy;

  • the User’s violation of applicable law or third-party rights;

  • User content submitted through the Application;

  • participation in or organization of Events;

  • fraud, misconduct, negligence, or unlawful conduct.

  1. Consumer Rights and Regional Rules

Nothing in these Terms limits any mandatory consumer rights that cannot be excluded under applicable law.

Where required by applicable law, Users may have specific rights depending on their country of residence, including in the European Union, United Kingdom, Brazil, Australia, or other jurisdictions.

If local consumer law grants Users higher mandatory protection than these Terms, such mandatory protection shall prevail.

  1. Changes to these Terms

Flockpass may amend or update these Terms from time to time.

Where required by law, Flockpass will notify Users of material changes.

Continued use of the Application after the effective date of updated Terms constitutes acceptance of the updated Terms.

If Users do not agree with the updated Terms, they must stop using the Application.

  1. Service Changes and Interruptions

Flockpass may modify, suspend, discontinue, or restrict the Application, any feature, or any service at any time, including for maintenance, security, legal, technical, business, or operational reasons.

Flockpass is not liable for temporary interruptions, technical issues, maintenance, outages, force majeure events, or third-party service failures.

  1. Governing Law and Jurisdiction

These Terms are governed by the laws of Italy, without prejudice to any mandatory consumer protection rights that may apply under the laws of the User’s country of residence.

The courts of Milan, Italy, shall have jurisdiction, unless mandatory applicable law provides otherwise.

  1. Dispute Resolution

Users are encouraged to contact Flockpass first in case of any dispute, complaint, issue, or concern.

Complaints may be sent to support@flockpassapp.com.

Flockpass will make reasonable efforts to review and respond to complaints in a timely manner.

  1. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

  1. Entire Agreement

These Terms, together with the Privacy Policy, Minor Safety Policy, Creator Terms, Refund & Cancellation Policy, Community Guidelines, and any other applicable Flockpass policies, constitute the entire agreement between Flockpass and the User regarding use of the Application.
